Chris, no... if your client resides outside the EU, you don't charge VAT. VAT is only applicable if clients are in the EU and don't provide a VAT ID. I agree with you, the EU was to simplify but the leaders messed up :)

That's the same argument you can use 'against' her... if she didn't sign anything, you and your other partner can start a company next door and pay her $0. If I was in her shoes, i would accept the money and move on... I mean she can't force you both to accept her in the partnership specially when there is no agreement signed yet.
