Company formation for a non-resident – Delaware LLC and London LTD @user239558 I'm not missing it. My whole answer is about the use of a UK company by a non-resident. The scenario you refer to is advantageous because of tax treaties. It is not applicable in all cases, and certainly not where there are much more significant revenues. |

Doubt on open source @kizzx2 In the case of the BSD licence, it does not describe the licence as "irrevocable", so national laws may permit the revocation of the licence (note that GPL expresses rights to be irrevocable). This will vary from place to place. More likely, however, is a scenario in which the author announces that new recipients of the code may only use it under a new licence, or not at all. Again, the exact effect of this will likely vary from place to place. |

Finding a commision-paid sales-person/business partner in the UK Agreed, but that's very much a backup plan. The issue is that there is an established leader offering the same service, whose value for money is awful, but professional services firms, especially law firms are extremely conservative. As my service is also new, it will be extremely difficult to acquire some initial customers over the phone with no live demonstrations and face-to-face presentations. Also, I don't really know what "an inside sales distribution strategy" is - is there a good book to read to learn such things? |

Doubt on open source Unless the work is public domain, the author (or someone else) always has copyright. The license tells you what uses will be permitted, and not a breach of copyright. Disclaimer: never rely on legal advice from strangers on the internet. |

What if partner quits? Who owns the code? Your lawyer should be able to advise you on this. Voting to close. |

How to structure a startup with a small number of founders to avoid chance of 'paralysis' at some later point @Ryan Because it forces everyone to reach agreement all the time, not just when there is a split. |
