You can also add a third factor - significant growth. More important than innovation nearly. Opening a restuarant is not a startup. Opening a chain of restaurants may be. Opening an ice cream factory may be - Ben & Jerries went from zero against an established market to high in little time, as did google.

I can not believe that. What do you do in a business with slim margins? Where you pay 95USD in goods to make 100USD revenue? Stuff liek RAM chips have extremely tight margins - if you can not deduct expenses, that would simply not work. Where I live, food shops make maybe 3% to 5% margin. Cost goes from there.

Yes, you should be concerned about a LOW conversion rate. 2.5%, though, is quite good and NOT low. YOu should more work on getting traffic than anything else.

Ah, no - you do not need. YOu get to keep all the software you got from BizSpark. YOu only need to pay for additional stuff. Reading is an art, I assume - after all, all the info is available for public, one just mustread it. Your "Waiver" is standard bizspark condition. I am not sure Azure is wise in general - I rather prefer low runnning costs and it is SO much more expensive than renting the hardware...

SQL Server FIleStream data (read is up - it is a nice concept) does NOT count against the 10g size limit = SQL Server Express. SQL Server Web Edition is vrey cheap and the size limit non existent. Azuere BLob Storage wil kill you price wise.

Germany. WHen you form a GBR (partnership under vcivil law= both parties are fully liable for any debts of the partnership, and the partnership is equally split. BOTH parts can be overridden by contract, but that is the default.

To give you another view - not one so "public" - there was a plant once that was putting Cisco routers together. They also worked in the night. Same routers. Not for Cisco. SAME routers - including the logo (I.e. pirating). It just happens. No way to stop it.

-1 - it is SO easy to miss something an then yo uare ina lot of pain. Plus it takes vluable time. THe price for an accountant doing tghe legal side is miniscule.

THe counteroffer from a cloud provider was around 1 core and 4gb memory.... OUCH. Plus when you get bigger (video does) backupts etc. are similar to cloud from your work anyyway.

Seriously? Have a look at the prices and then you realize that you can afford 3-4 times the hardware AND the admins from the difference. I have 6 servers now, nr 7 going nline in 3 weeks and I pay a LOT less than you would for ONE of the servers in the cloud. Every time I see the prices I - sorry - vomit. I can get a 6 core / 16gb machine for 160 USD. I just ordered a 4 core (intel, so + hyper) 16gb machine with a 120gb ssd (not a lot of data there) and 10tb traffic and I pay 150 USD or so per month, with local people handling the hardware.

Well, the advantage of renting a car is that they do a lot of heavy lifting for you. Pay<ing daily rates for 2 years is EXPENSIVE though. I pay less (!) for a 16g hexacore physical system per month than for a dual core 4gb cloud offering. It is EXPENSIVE - I dont care what they do when I pay them 5 times what I pay other people to do the same job. Their ONLY good point is flexibility.

Use google. There are companies that do that as a service, they can tell you the details. "register company usa" turns a page full of relevant links. Your google fu must be very weak not to even have thought of just asking there and see whether someone offers that as a service. Company registration is a very established market.
