I'm Founder and CEO of Blue Fish Development Group, a software development and consulting firm I founded 12 years ago. We provide enterprise content management solutions to Fortune 500 companies. Blue Fish was the 10th fastest growing company in Austin, TX in 2008 and was selected as one of the best places to work in 2007.

Recently, I've been mentoring startups as part of the Capital Factory program, a super-early-stage investment group patterned in part after Y Combinator.

comment Sample milestones for co-founder value-contributed equity distribution
Ideally, all founders would vest over time, although the amount that vests each time period may be different one founder. This is what a VC will put in place if they were to invest in your company - they want the founders to continue to pull nights and weekends and move mountains to make sure the company succeeds.

comment Hiring sales people as independent contractors
+1 Great clarification and explanation of an independent sales rep. I hadn't thought about it like that - as an independent rep, you are out making your own contacts, finding your leads. Entering them into your supplier's CRM is basically giving them your leads for free. There's an entire industry of people selling leads, so giving them away for free doesn't make sense.

Be careful about single-member LLCs. See my answer to this question for more information.

Great answer. It's obvious that it comes from experience and not just opinion.
