Myself and a friend run a website.

We want to register as a Limited Liability Company in Nevada for the tax benefits. It's just us two that work on the site. This is a unique situation, though. He lives in California, and I live in Johannesburg, South Africa.

I've done a lot of research on the costs, but different websites give me different prices, I'm not entirely sure if those costs are up to date, and as I understand from what I have read, there are different types of LLC's in Nevada, differing for locals/foreigners of the state, because of this, I have done nothing but confuse myself with different statistics from different people saying different things. So I need an accurate answer to these two questions:

What are the exact up-to-date costs and requirements of registering a Nevada LLC in this situation and what type should we register for?

There are no different types of LLC's in Nevada, and the costs are described pretty clearly on the Nevada site. However, your LLC will also have to qualify in California, if your friend is an active participant, and California may claim that the income is derived in California. Thank you for the comments littleadv. I do think there are different types (according to Nevada Secretary of State: nvsos.gov/index.aspx?page=428 ). My friend is an active participant, he is the founder. I'm more of an employee (not really a founder as I came on board afterwards). I had a look at the relevant question you linked to before posting this question but it is dated in 2010. Google searches for registering in Nevada haven't linked me to many official sites, just registered agent sites and they tell me different things, so I am extremely confused in regard to this. – Synaptix Sep 6 '12 at 22:12
professional LLC is LLC that provides professional services (lawyers, accountants, architects, etc). There's a link to the statute from the page you linked to, and there it says "“Professional service” means any type of personal service which may legally be performed only pursuant to a license, certificate of registration or other legal authorization.". So its pretty clear if it is relevant for you or not (not, because you both don't have any NV professional licenses). On the same page, there's a list of all the fees you need to know about for LLC's (excluding registered agent fees). – littleadv Sep 6 '12 at 22:30
