I am a Canadian investing with two other Canadians in a New Mexico LLC and a C corp (related companies). We are looking to set up a Corporation of some sort in Canada to hold the shares (private shares not publicly traded shares). What is the best way to protect ourselves from US estate taxes and also be able to avoid double or triple taxation?

I have read there can also be a problem with LLC's distributing dividends in kind (on paper only). In this scenarios, the shareholders were required to pay tax in the US on money not actually received.

Any help or contact information would be greatly appreciated.
