I would like to take on a partner company to resell my product and services in conjunction with their products and services however my software needs to be sold under their brand name and in some instances co branded What type of legal agreement do I need? Pleae note this partner does not need access to source code.

Please note becuase this partner sells to government they need to license the product under their name but they have other non-govt clients they want to sell to..

If they sell it under their own name, it's called an OEM agreement. Just google it. If they are selling your product under your name, it's a distributor agreement.

You might also find something useful under "private label agreement" or "white label agreement", although OEM is the more common term for software. – Mike Oct 15 '10 at 4:38
